    The primary purpose of this article was undertaken to find out if the disclosure by standard and premium listed companies in the United Kingdom(UK) is a suitable mechanism to regulate the corporate governance of such companies. It went further to determine if the disclosure mechanisms, be it mandatorily or voluntary are sufficient to regulate a company. If not, to identify remedial measures. This article thus studied the various disclosures made by standard and premium listed companies in the UK as it is, its problems and recommended other corporate governance mechanisms to support the disclosure mechanism used in regulating corporate governance so as to foster investors and potential investors confidence in investee companies.

    Legal Response to Human Rights Challenges of Multinational Corporations in Nigeria

    The duty to protect human rights is no longer the sole duty of states but also that of other parties like the multinational corporations, companies and business enterprises which are all part of the private sector. This is because it has been observed that this sector, particularly multinational corporations also violate human rights as their operations have an effect whether positive or negative on the rights of a group of people which includes employees, customers and communities in which they operate. Hence, the subject matter of business and human rights is a trending issue at the international level. This paper discusses the problems posed by the private sector, specifically the multinationals, and how they violate human rights in Nigeria vis-a-vis the response by the government. The paper finds that the response is poor and the consequence is the increase in violation of human rights in the country. The study recommends that actions be taken to strengthen the laws and develop measures that directly relate to business and human rights. Having examined what is obtainable in other jurisdictions like South Africa and Australia, the study equally recommends that the government follow in their good footsteps.

    The Nigerian Defence Academy as a Degree Awarding Institution: Need for a Reform of its Establishing Act

    Following the arguments in support and against the Nigerian Defence Academy awarding degrees to its cadets, this paper sought to find a solution to these arguments by considering the Act of the Academy which grants it power to award such degrees. The National Universities Commission Act was also considered being the Act that regulates tertiary institutions education in Nigeria. In making its recommendations practical, University of Ilorin Act and National Open University Act was examined to represent the power given to conventional universities in Nigeria to award degrees to its students. The paper further examined the provisions of the Defence Academy of the United Kingdom, Royal Military Academy Sandhurst, Defence Academy of India, and the Seminary of All Saints Uhiele Ekpoma in awarding degrees to their cadets and seminarians respectively.

    Takeovers as an effective mechanism for corporate governance

    This paper aimed at studying the market for corporate control as a vehicle to effectively and efficiently regulate the corporate governance of a company. Corporate governance found itself in the forefront of the discuss in the business and academic world as a result of high-level scandals which led to the collapse of hitherto strong multinational companies which were once thought to be sure bets. The need for the prevention of a reoccurrence of such scandals and improvement on a company’s corporate governance system has prompted this study. In the conclusion of this paper, a balanced approach was reached for the market for corporate control and other corporate governance mechanisms were provided to ensure that a company is properly managed.
